1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the website and services provided by Distributed VA (“Company,” “we,” “our,” or “us”).

By accessing our website or engaging our staffing or recruitment services, you agree to comply with these Terms. If you do not agree with these Terms, you should not use our services.

2. Services Provided

Distributed VA provides staffing and recruitment services, including but not limited to:

  • Managed Staffing Services – Providing dedicated remote professionals who work with client organizations under a managed service arrangement.

  • Direct Hire Recruitment – Recruiting and presenting qualified candidates for permanent employment opportunities with client companies.

The scope, pricing, and details of services will be defined in a separate written agreement or service contract between Distributed VA and the client.

3. Client Responsibilities

Clients engaging Distributed VA agree to:

  • Provide accurate information regarding job requirements and responsibilities

  • Maintain a professional and lawful working environment

  • Use staffing services only for legitimate business purposes

  • Provide timely communication and feedback during recruitment and staffing engagements

  • Comply with all applicable employment, labor, and data protection laws

Clients are responsible for ensuring that tasks assigned to remote personnel comply with applicable regulations and company policies.

4. Candidate and Staffing Placement

Distributed VA will make reasonable efforts to identify qualified candidates for client needs. However:

  • We do not guarantee that candidates will meet all client expectations.

  • Final hiring decisions remain solely the responsibility of the client.

  • Clients are responsible for conducting interviews and determining candidate suitability.

For direct hire placements, specific terms such as placement fees, guarantees, or replacement policies may be outlined in a separate agreement.

5. Fees and Payment

Fees for services will be outlined in the applicable service agreement or proposal.

Clients agree to:

  • Pay all agreed-upon service fees in accordance with the payment terms

  • Provide timely payment for ongoing staffing services

  • Cover any applicable taxes or regulatory fees unless otherwise specified

Failure to make timely payments may result in suspension or termination of services.

6. Confidentiality

Both Distributed VA and its clients agree to maintain the confidentiality of all proprietary, business, and personal information exchanged during the course of the business relationship.

Confidential information may not be disclosed to third parties without prior written consent unless required by law.

7. Intellectual Property

Unless otherwise agreed in writing:

  • Work produced by staffing personnel for a client during the course of engagement will be owned by the client.

  • Distributed VA retains ownership of its internal systems, processes, and proprietary materials.

Clients agree not to copy, reproduce, or distribute Distributed VA intellectual property without permission.

8. Acceptable Use

Clients may not use Distributed VA services for:

  • Illegal or fraudulent activities

  • Harassment, discrimination, or unethical business practices

  • Activities that violate applicable laws or regulations

  • Any purpose that could harm Distributed VA personnel or reputation

Distributed VA reserves the right to suspend or terminate services if misuse occurs.

9. Limitation of Liability

To the fullest extent permitted by law, Distributed VA shall not be liable for:

  • Indirect, incidental, or consequential damages

  • Loss of business, revenue, or profits

  • Decisions made by clients based on candidate recommendations

Our total liability under these Terms shall not exceed the total fees paid to Distributed VA for services in the preceding three months unless otherwise specified in a written agreement.

10. Independent Contractor Status

Unless otherwise specified in a service agreement:

  • Distributed VA personnel are considered independent professionals engaged through Distributed VA.

  • Nothing in these Terms creates a joint venture, partnership, or employment relationship between the client and Distributed VA.

11. Termination

Either party may terminate a service engagement according to the terms defined in the applicable service agreement.

Distributed VA reserves the right to suspend or terminate services immediately if:

  • Payment obligations are not met

  • Terms of service are violated

  • Services are used for unlawful purposes

12. Changes to Services

Distributed VA reserves the right to modify or discontinue services, website features, or offerings at any time without prior notice.

13. Governing Law

These Terms shall be governed and interpreted in accordance with the laws of the jurisdiction in which Distributed VA operates, unless otherwise specified in a service agreement.

14. Updates to These Terms

Distributed VA may update these Terms from time to time. Updates will be posted on this page with a revised effective date.
